1. The Service
1.1. Core Offering
The Nuvex Service is a unified Enterprise Resource Planning (ERP) platform providing integrated modules for Human Resources Management (HRM), Accounting, Customer Relationship Management (CRM), Project Management, Point of Sale (POS), and Advanced Collaboration Tools (In-App Messenger, Conference System).
1.2. Scope of Access
We grant you a non-exclusive, non-transferable, limited, and revocable license to access and use the Service solely for your internal business operations, in accordance with your purchased subscription plan.
1.3. User Responsibility
You are responsible for maintaining the confidentiality and security of your account credentials. You must not share your account, Host rights, or any other user rights with any other individual.
2. Intellectual Property (IP)
2.1. Nuvex Ownership
The Service, its original content (excluding Your Content, as defined below), features, functionality, underlying technology, and proprietary AI algorithms are and will remain the exclusive property of Nuvex and its licensors. You are granted no right to the source code of the Service.
2.2. Your Content
All data, files, documents (including generated letters, financial entries, and employee records), and information that you input or upload into the Service ("Your Content") remain your property. You grant Nuvex a worldwide, non-exclusive, royalty-free license to use, host, store, and process Your Content only as necessary to provide, maintain, and improve the Service, including the AI-assisted features.
3. Payment, Billing, and Trials
3.1. Subscription Fees
You agree to pay all fees associated with your subscription plan as described on the Nuvex pricing page or agreed upon in a separate Order Form. All fees are exclusive of applicable taxes.
3.2. Free Trial
Any free trial period is subject to these Terms. Nuvex reserves the right to terminate access to the Service immediately following the conclusion of the free trial period if a paid subscription is not initiated, as outlined in the Non-Upgrade Path of our internal workflow.
3.3. Recurring Billing and Non-Payment
Subscriptions automatically renew at the end of the subscription period unless canceled. Failure to pay fees by the due date may result in the suspension or cancellation of your access to the Service. Suspension or cancellation may result in the loss of access to Your Content.
4. Termination
4.1. Termination by You
You may terminate your subscription at any time according to the cancellation process outlined in your account settings or Order Form. Termination will take effect at the end of your current billing cycle, and you will remain responsible for all fees incurred through that date.
4.2. Termination by Nuvex
We may terminate or suspend your account immediately, without prior notice or liability, if you breach these Terms (including but not limited to failure to pay fees or unauthorized use of the Service).
4.3. Data Retrieval
Upon termination, Nuvex will provide you a reasonable period (e.g., 30 days) to retrieve Your Content, subject to all outstanding balances being paid. After this period, Nuvex is entitled to delete Your Content.
5. Limitation of Liability
5.1. Disclaimer
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Nuvex makes no warranties, whether express or implied, regarding the operation or availability of the Service, the accuracy of the data, or the results of the AI features.
5.2. Cap on Liability
In no event shall Nuvex, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any unauthorized access, use, or alteration of your transmissions or content. Our total liability to you for any damages arising out of or related to the Service shall be limited to the fees paid by you to Nuvex in the twelve (12) months preceding the claim.
6. General Provisions
6.1. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Sultanate of Oman, without regard to its conflict of law provisions.
6.2. Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice (e.g., via email or prominent notice on the Service) of any material changes.
